Allgemeine Geschäftsbedingungen für Übersetzer

  1. GELTUNGSBEREICH
    Diese Auftragsbedingungen gelten für Verträge zwischen Übersetzern und ihren Auftraggebern, soweit nicht etwas anderes ausdrücklich vereinbart oder gesetzlich unabdingbar vorgeschrieben ist.
    Allgemeine Geschäftsbedingungen des Auftraggebers sind für den Übersetzer nur verbindlich, wenn er sie ausdrücklich anerkannt hat.
  2. UMFANG DES ÜBERSETZUNGSAUFTRAGS
    Die Übersetzung wird nach den Grundsätzen ordnungsgemäßer Berufsausübung sorgfältig ausgeführt. Der Auftraggeber erhält die vertraglich vereinbarte Ausfertigung der Übersetzung.
  3. MITWIRKUNGS- UND AUFKLÄRUNGSPFLICHT DES AUFTRAGGEBERS
    Der Auftraggeber hat den Übersetzer rechtzeitig über besondere Ausführungsformen der Übersetzung zu unterrichten (Übersetzung auf Datenträgern, Anzahl der Ausfertigungen, Druckreife, äußere Form der Übersetzung etc.). Ist die Übersetzung für den Druck bestimmt, hat der Auftraggeber dem Übersetzer einen Korrekturabzug zu überlassen.
    Informationen und Unterlagen, die zur Erstellung der Übersetzung notwendig sind, hat der Auftraggeber unaufgefordert und rechtzeitig dem Übersetzer zur Verfügung zu stellen (Glossare des Auftraggebers, Abbildungen, Zeichnungen, Tabellen, Abkürzungen etc.).
    Fehler, die sich aus der Nichteinhaltung dieser Obliegenheiten ergeben, gehen nicht zu Lasten des Übersetzers.
  4. MÄNGELBESEITIGUNG
    Der Übersetzer behält sich das Recht auf Mängelbeseitigung vor. Der Auftraggeber hat Anspruch auf Beseitigung von möglichen in der Übersetzung enthaltenen Mängeln. Der Anspruch auf Mängelbeseitigung muss vom Auftraggeber unter genauer Angabe des Mangels geltend gemacht werden. Im Falle das Fehlschlagens der Nachbesserung oder einer Ersatzlieferung leben die gesetzlichen Gewährleistungsrechte wieder auf, sofern nicht eine andere Vereinbarung getroffen wurde.
  5. HAFTUNG
    Der Übersetzer haftet bei grober Fahrlässigkeit und Vorsatz. Die Haftung bei leichter Fahrlässigkeit tritt nur bei Verletzung vertragswesentlicher Pflichten ein.
  6. BERUFSGEHEIMNIS
    Der Übersetzer verpflichtet sich, Stillschweigen über alle Tatsachen zu bewahren, die ihm im Zusammenhang mit seiner Tätigkeit für den Auftraggeber bekannt werden.
  7. VERGÜTUNG
    Die Vergütung ist sofort nach Abnahme der geleisteten Übersetzung fällig. Die Abnahmefrist muss angemessen sein.
    Der Übersetzer hat neben dem vereinbarten Honorar Anspruch auf die Erstattung der tatsächlich angefallenen und mit dem Auftraggeber abgestimmten Aufwendungen. Bei Verträgen mit privaten Auftraggebern ist die Mehrwertsteuer im Endpreis – gesondert aufgeführt – enthalten. In allen anderen Fällen wird sie, soweit gesetzlich notwendig, zusätzlich berechnet. Der Übersetzer kann bei umfangreichen Übersetzungen den Vorschuss verlangen, der für die Durchführung der Übersetzung objektiv notwendig ist. In begründeten Fällen kann er die Übergabe seiner Arbeit von der vorherigen Zahlung seines vollen Honorars abhängig machen.
    Ist die Höhe des Honorars nicht vereinbart, so ist eine nach Art und Schwierigkeit angemessene und übliche Vergütung geschuldet. Hierbei gelten mindestens die im Gesetz über die Entschädigung von Zeugen und Sachverständigen aufgeführten Sätze als angemessen und üblich.
  8. EIGENTUMSVORBEHALT UND URHEBERRECHT
    Die Übersetzung bleibt bis zur vollständigen Bezahlung Eigentum des Übersetzers. Bis dahin hat der Auftraggeber kein Nutzungsrecht.
    Der Übersetzer behält sich sein Urheberrecht vor.
  9. ANWENDBARES RECHT
    Für den Auftrag und alle sich daraus ergebenden Ansprüche gilt deutsches Recht.
    Die Wirksamkeit dieser Auftragsbedingungen wird durch die Nichtigkeit und Unwirksamkeit einzelner Bestimmungen nicht berührt.

General Terms and Conditions for Translators

  1. SCOPE OF APPLICATION
    – The following terms and conditions shall apply to contracts concluded between translators and their clients, unless specifically agreed otherwise or mandatorily prescribed by law.
    – General terms and conditions of the client shall be binding on the translator only if they are specifically acknowledged by the translator.
  2. SCOPE OF THE TRANSLATION ORDER
    The translation shall be produced carefully in accordance with the principles of correct professional practice. The original of the translation shall be made available to the client as contractually agreed.
  3. CLIENT’S OBLIGATION TO COOPERATE AND INFORM
    – The client shall inform the translator in good time about any particular translation specifications (translation on data media, number of copies, readiness for printing, external form of the translation, etc.). If the translation is intended to be printed, the client shall provide the translator with a proof.
    – The client shall, without being requested to do so and in timely manner, provide the translator with information and documents necessary for the production of the translation (client glossaries, illustrations, drawings, tables, abbreviations, etc.).
    – The translator shall not be held responsible for any errors resulting from the failure to observe these obligations.
  4. RECTIFICATION OF ERRORS
    The translator shall reserve the right to rectify errors. The client shall be entitled to claim the rectification of possible errors in the translation; such claim must be asserted by the client with an exact indication of the errors in question. If the rectification proves to be unsuccessful or a replacement translation is not supplied the statutory warranty rights shall come into effect again unless a different agreement is reached.
  5. LIABILITY
    The translator shall be liable for gross negligence and intent. The translator shall be liable for slight negligence only in the case of violation of material contractual obligations.
  6. PROFESSIONAL SECRECY
    The translator undertakes to maintain secrecy concerning all facts of which he or she may become aware in the course of his or her activity for the client.
  7. REMUNERATION
    – Remuneration shall be due immediately after acceptance of the completed translation. The acceptance period must be appropriate.
    – In addition to the agreed fee the translator shall be entitled to the reimbursement of the expenses actually incurred and agreed with the client. With contracts with private clients, value added tax shall be included in the final price and shown separately. In all other cases it shall be additionally calculated where required by statutory provisions. With large translation orders the translator may demand the advance payment objectively considered necessary for the production of the translation. In justified cases the translator may make the submission of his or her work contingent upon the prior payment of his or her full fee.
    – If the amount of the fee has not been agreed, an appropriate and customary remuneration based upon the type and level of difficulty of the translation shall be paid. At least the rates specified in the Act on the Compensation of Witnesses and Expert Witnesses shall be deemed appropriate and customary.
  8. RESERVATION OF PROPRIETARY RIGHTS AND COPYRIGHT
    – The translation shall remain the property of the translator until payment has been effected in full. Until such time the client shall not be entitled to make use of the translation.
    – The translator shall retain his or her copyright.
  9. APPLICABLE LAW
    – German law shall apply to the translation order and any claims resulting therefrom.
    – The effectiveness of these Terms and Conditions shall not be affected by the invalidity and ineffectiveness of individual provisions.

Conditions commerciales générales pour traducteurs

  1. DOMAINE D’APPLICATION
    – Les présentes conditions de commande s’appliquent aux contrats conclus entre les traducteurs et leurs clients, dans la mesure où aucun autre accord n’est expressément convenu ou prévu par des dispositions légales impératives.
    – Les conditions commerciales générales du client n’engagent le traducteur que si celui-ci les a expressément reconnues.
  2. ÉTENDUE DE LA COMMANDE DE TRADUCTION
    La traduction est réalisée avec la conscience professionnelle requise par le code de déontologie. La traduction est remise au client sous la forme convenue contractuellement.
  3. DEVOIR DE COOPÉRATION ET D’INFORMATION DU CLIENT
    – Le client s’engage à informer le traducteur en temps voulu, des formes d’exécution particulières (traduction sur supports de données, nombre d’exemplaires, bon à tirer, présentation de la traduction etc.). Si la traduction est destinée à l’impression, le client est tenu de remettre au traducteur un exemplaire pour correction.
    – Le client fournira au traducteur les informations et documents nécessaires à la réalisation de la traduction, de sa propre initiative et en temps voulu (glossaire du client, figures et illustrations, plans, tableaux, abréviations etc.).
    – Les erreurs résultant de la non-observation de ces obligations ne seront pas imputables au traducteur.
  4. SUPPRESSION DE DÉFAUTS
    Le traducteur se réserve le droit de correction. Le cas échéant, le client est en droit de réclamer la suppression des défauts constatés dans la traduction. Le client doit faire valoir ses droits à la suppression des défauts en indiquant précisément le défaut en question. Dans le cas de l’échec de l’amélioration ou d’une livraison de remplacement et sauf convention contraire, le droit légal à la garantie prévaut.
  5. RESPONSABILITÉ
    La responsabilité du traducteur est engagée en cas de faute grave et intentionnelle. La responsabilité du traducteur pour faute légère n’est engagée qu’en cas de violation d’obligations contractuelles essentielles.
  6. SECRET PROFESSIONNEL
    Le traducteur s’engage à traiter confidentiellement toute information dont il prendra connaissance au cours de l’exercice de son activité pour le client.
  7. RÉMUNÉRATION
    – La rémunération est due dès réception de la traduction effectuée. Le délai d’acceptation doit être raisonnable.
    – Outre les honoraires convenus, le traducteur pourra exiger le remboursement des frais réellement occasionnés qui auront été concertés avec le client. Pour des contrats avec des clients particuliers, la TVA, mentionnée séparément, sera comprise dans le prix final. Dans tous les autres cas, elle sera facturée en sus selon les dispositions légales. Pour des traductions volumineuses, le traducteur sera en droit de demander une avance objectivement nécessaire à l’exécution de la traduction. Dans certains cas justifiés, il pourra faire dépendre la remise de son travail du paiement préalable de son honoraire intégral.
    – Si le montant de l’honoraire n’est pas convenu, la rémunération due est calculée de manière raisonnable et usuelle, en fonction du genre et du degré de difficulté. Dans ce cas, les tarifs définis par la Loi sur l´indemnisation de témoins et d´experts sont considérés comme un minimum raisonnable et usuel.
  8. RÉSERVE DE PROPRIÉTÉ ET DROIT D’AUTEUR
    – La traduction reste la propriété du traducteur jusqu’au règlement intégral de la facture. D’ici-là, le client ne dispose pas du droit d’exploitation.
    – Le traducteur se réserve le droit d’auteur.
  9. DROIT APPLICABLE
    – La commande et toutes les prétentions qui en découlent sont soumises au droit allemand.
    – Si l’une des clauses des présentes conditions générales de commande s’avérait nulle et non avenue, la validité et le respect des autres clauses ne pourraient en aucun cas être affectés.
